The Opportunity

Sichenzia Ross Ference Carmel LLP is seeking a Senior-Level Corporate Associate with 5+ years of substantive mergers and acquisitions experience to join its Corporate and Securities Department.

The successful candidate will have significant experience managing and executing a broad range of M&A transactions, including domestic and cross-border acquisitions, dispositions, mergers, reverse mergers, strategic investments, joint ventures, and other complex corporate transactions.

This position is particularly well suited for an experienced corporate attorney seeking substantial responsibility, direct client interaction, and the opportunity to play a meaningful role in the continued growth of the firm’s corporate M&A practice. Experience with securities transactions and public-company matters is beneficial.

Qualifications

  • 5+ years of substantial transactional experience, with a primary focus on mergers and acquisitions
  • Demonstrated experience representing buyers and sellers in private-company and/or public-company M&A transactions, including mergers, reverse mergers, stock purchases, asset purchases, acquisitions, dispositions, and other strategic transactions
  • Significant experience drafting and negotiating principal transaction documents, including merger agreements, stock purchase agreements, asset purchase agreements, disclosure schedules, letters of intent, confidentiality agreements, transition arrangements, and ancillary closing documents
  • Ability to manage M&A transactions from inception through closing, including transaction structuring, due diligence, drafting and negotiation, preparation and coordination of closing deliverables, and post-closing matters
  • Experience coordinating and supervising legal due diligence, including the ability to identify, evaluate, and communicate material legal and transactional issues to clients and other attorneys
  • Strong understanding of general corporate law, including corporate governance, fiduciary duties, capitalization matters, equity arrangements, and entity formation and restructuring
  • Experience counseling clients regarding the practical and legal considerations involved in complex transactions
  • Ability to manage multiple transactions and workstreams simultaneously while maintaining exceptional attention to detail and meeting demanding deadlines
  • Strong drafting, negotiation, analytical, and organizational skills
  • Excellent interpersonal and client-management skills, with a proactive and commercially minded approach to legal matters
  • Ability to take substantial ownership of transactions and work effectively with partners, junior attorneys, specialists, opposing counsel, clients, investment bankers, accountants, and other transaction participants
  • Experience with public-company M&A, securities offerings, SEC reporting, PIPE transactions, or other securities-law matters is preferred
  • Experience working with high-growth companies, entrepreneurs, investors, and/or broker-dealers is beneficial
  • New York State bar admission is required

Job Type: Full-Time

Compensation Package

Sichenzia Ross Ference Carmel LLP offers a comprehensive compensation and benefits package, including a discretionary performance-based bonus and a potential percentage of origination on new business.

Salary Range: $225,000 – $275,000
