(the “Company”) (NASDAQ: IMG), an emerging consumer food and beverage distribution chain company, in a private investment in public equity offering, pursuant to which the Company issued to the investors convertible promissory notes and warrants to purchase common stock for gross proceeds of $10 million on January 17, 2025.
