(the “Company”), in connection with a private offering whereby the Company sold to accredited investors an aggregate of 3,558,335 shares of common stock and warrants to purchase up to 1,779,169 shares of common stock for a purchase price of $0.75 per share. The Company received $ 2,135,000 in gross proceeds from the sale of the securities.
