Phil Magri is a partner in the Corporate and Securities Department.

Experience

With extensive law firm and in-house experience, Phil represents public and private companies, start-ups, broker-dealers and investors in a wide range of corporate and capital markets transactions, including IPOs, Regulation A+ offerings, PIPEs, CMPOs, follow-on offerings and mergers and acquisitions. He regularly advises clients on SEC compliance and reporting under the Securities Exchange Act of 1934, Sarbanes-Oxley Act compliance, corporate governance and up-listings to Nasdaq and NYSE, including ongoing compliance with exchange listing standards.

Phil also counsels broker-dealers on securities offerings and regulatory compliance with both SEC and FINRA rules. He works closely with entrepreneurs and growth-stage companies as outside general counsel, providing practical and business-focused legal advice to help clients achieve their strategic goals.
