On May 19, 2026, the SEC proposed a significant overhaul of the public company filer status framework.

The proposal would (among other things), extend current disclosure scaling and other accommodations to most public companies, grant the smallest public companies extended deadlines to file their periodic reports, and simplify the public reporting company filer status framework. The proposal was issued alongside a separate companion proposal for a major overhaul the U.S. public offering framework.

The SEC has requested comments on the public company reporting framework proposal by July 20, 2026.
